Welcome to our Affiliate Program! By joining and participating in our affiliate program (“Affiliate Program”), you agree to abide by these terms and conditions (“Terms”). These Terms govern the relationship between Dropeego (“Company,” “we,” “us,” or “our”) and you, the affiliate (“Affiliate,” “you,” or “your”).

Please read these Terms carefully before enrolling in or participating in our Affiliate Program.

1. Affiliate Program Participation
To become an Affiliate, you must complete the registration process by submitting an Affiliate application on our website.
You must be at least [18] years old and legally able to form binding contracts.
Affiliates are independent contractors and are not employees of the Company.
The Company reserves the right to approve or reject any Affiliate application in its sole discretion.
2. Affiliate Links and Marketing Materials
Upon acceptance into the Affiliate Program, you will receive unique affiliate links and promotional materials that you may use to promote our products.
Affiliates agree to only use marketing materials and links provided by the Company or those approved by us.
You may not create any misleading or deceptive marketing materials.
You must not bid on keywords or phrases, including the Company’s name or trademark, on search engines like Google or Bing.
3. Dropshipping and Affiliate Responsibilities
Dropshipping Option: In addition to earning commissions through direct referrals, Affiliates may have the option to engage in dropshipping. If you are eligible to participate in our dropshipping model, you will be responsible for setting up an online store, marketing our products, and handling customer service, while we fulfill and ship the products directly to the customer.

Dropshipping Agreement: As a dropshipping affiliate, you must enter into a separate dropshipping agreement with the Company, which will outline additional terms, responsibilities, and conditions for dropshipping participation. This includes details regarding pricing, profit margins, and fulfillment processes.

The Company will handle the actual product fulfillment and shipping. You are not required to manage any inventory.

Customer Service: Affiliates using dropshipping are expected to handle customer service for any inquiries regarding the product, orders, or returns.
4. Commissions and Payment
Affiliates will earn a commission based on sales made through their referral links. The commission structure is as follows:
Refer on the commission structure set by Dropeego on their marketing plan and it can be change without prior notice.
Dropshipping Affiliates will earn commissions on the difference between the wholesale price and the retail price they set, plus the normal affiliate commission for each sale.
The commission will be paid monthly or weekly and upon request or on the date specified in the affiliate dashboard, subject to the following conditions:
The sale must not be canceled or refunded.
The customer must complete the purchase within [30 days] of the referral.
Payments will be made via [Bank transfer, e-wallet, or other payment methods], provided you have met the minimum payout threshold of 500 Pesos.
5. Prohibited Practices
As an Affiliate, you agree not to engage in the following practices:

Spam: You are prohibited from spamming users via email, social media, or any other communication method to promote the Company’s products.
Fraudulent Activities: Any fraudulent or unethical activity, including false advertising or misleading claims, will result in the immediate termination of your affiliate account and forfeiture of any unpaid commissions.
Cookie Stuffing: You may not use any form of cookie stuffing, where users are unknowingly redirected to the Company’s website without their consent.
Unapproved Dropshipping Practices: Affiliates engaging in dropshipping must adhere to all Company policies, including those related to product pricing, marketing, and customer service. Failure to comply with these terms may result in termination of your affiliate account.
6. Affiliate Account Termination
The Company reserves the right to suspend or terminate your Affiliate account at any time, for any reason, including but not limited to:
Violation of these Terms and Conditions.
Engaging in fraudulent or unethical activities.
Inactivity for a prolonged period.
Non-compliance with dropshipping agreements or pricing guidelines.
If your account is terminated, you will forfeit any unpaid commissions unless otherwise agreed upon.
You may terminate your participation in the Affiliate Program at any time by notifying the Company in writing.
7. Intellectual Property
You are granted a limited, non-exclusive, non-transferable license to use the Company’s intellectual property, including trademarks, logos, and materials, solely for the purpose of promoting our products under the terms of this Affiliate Program.
Upon termination of your participation, this license will automatically end, and you will cease using any Company-owned intellectual property.
8. Affiliate Responsibilities
You are solely responsible for ensuring compliance with all applicable laws, including tax laws and regulations, when participating in the Affiliate Program or engaging in dropshipping.
Affiliates must not misrepresent or falsely advertise the Company’s products or services.
As a dropshipping affiliate, you must ensure that your online store complies with all relevant consumer protection laws and regulations, including clear return/refund policies and accurate product descriptions.
You must maintain accurate records of your affiliate activities, including referrals, commissions earned, and dropshipping transactions.
9. Limitation of Liability
The Company is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the Affiliate Program or the use of any marketing materials.
Our total liability to you in connection with the Affiliate Program will not exceed the total commissions earned by you in the [6 months] preceding the claim.
10. Privacy and Data Protection
By participating in the Affiliate Program, you agree to our privacy policy, which governs how we collect and use your personal data.
Affiliates must comply with all applicable data protection laws, including obtaining the necessary consents for collecting and using personal information from individuals referred through their affiliate links.
11. Changes to the Terms
The Company reserves the right to modify or amend these Terms at any time. Any such changes will be communicated to Affiliates via email or through the Affiliate Program portal.
Continued participation in the Affiliate Program after any such modifications will be deemed acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Philippines.
Any disputes arising from your participation in the Affiliate Program shall be resolved through binding arbitration in [Dropeego prefered loction], under the rules of the Philippines arbitration.
